Terms and Conditions
These Terms & Conditions (“Terms”) apply to your use of (i) the services, materials, and communications provided by ONYX Solutions Limited (“ONYX”, “we”, “us”, “our”), whether delivered via our website, email, client portals (including ONYXTrack), in-person, or by any other means; and (ii) your use of our website at www.onyxcompliance.gg. By receiving or using any ONYX materials or services, or by accessing the Site, you agree to be legally bound by these Terms. If you do not accept these Terms, please do not use our services or Site.
1. Scope and Audience
1.1 These Terms apply to business users only.
1.2 Separate written engagement terms, proposals, statements of work, or master agreements agreed with you (each an “Engagement”) take precedence over these Terms in the event of conflict. If no Engagement is in place, these Terms govern your use of our materials and any exploratory or ad-hoc assistance we provide.
1.3 Sections 2–7 apply to all recipients of ONYX services or materials, whether or not you use the Site. Section 8 contains additional terms specific to use of the Site.
2. No Advice / No Client Relationship (General Use)
2.1 Unless we have a signed Engagement with you, our materials (including emails, articles, training content, templates, insights, demonstrations and any information shared via ONYXTrack or other channels) are for general information only. They do not constitute legal, regulatory, or professional advice, and you should not rely on them as such.
2.2 Your receipt of materials or participation in demos, webinars or workshops does not create a client, advisory, or fiduciary relationship with ONYX. If you require formal advice or support, please contact us to establish an Engagement.
3. Accuracy and Updates
3.1 We endeavour to ensure our materials are accurate and current, but we make no representations, warranties or guarantees (express or implied) that information is correct, complete, up to date or suitable for your purposes.
3.2 For any regulations and guidance changes, we may amend, update or withdraw materials at any time without notice.
4. AI-Assisted Content
4.1 We may use AI tools to assist in preparing drafts, summaries, insights or training materials. All AI-assisted content is reviewed by ONYX professionals prior to distribution or publication.
4.2 AI-assisted content may contain errors, omissions, or contextual limitations and is not a substitute for formal advice. ONYX accepts no liability for reliance on such content without independent verification.
5. Intellectual Property and Permitted Use
5.1 Unless stated otherwise, all content and materials provided by ONYX, including text, graphics, logos, videos, documents, training modules, downloadable files, and trademarks (“Materials”), are owned by ONYX or our licensors and protected by copyright, trademark and other IP laws.
5.2 You may use Materials internally and for non-commercial purposes only (e.g., training your staff), and you may print or download copies for that purpose only.
5.3 You must not reproduce, adapt, distribute, sublicense, or commercialise the Materials (in whole or part) without our prior written consent. Any ONYX branding or copyright notices must not be removed.
6. Limitation of Liability
6.1 To the fullest extent permitted by law, ONYX shall not be liable for any indirect, incidental, special, consequential or punitive losses, or for loss of profit, revenue, data, or business opportunity, arising out of or in connection with your use of our Materials or services (including any Site content).
6.2 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
7. Privacy and Data Protection
7.1 We handle personal data in accordance with The Data Protection (Bailiwick of Guernsey) Law, 2017 and our Privacy Policy.
7.2 Our Privacy Policy explains what personal data we collect, how we use it, and your rights. Please review it carefully.
8. Website Terms (Additional)
8.1 Purpose of the Site. The Site is provided for general information only and does not constitute advice (see Section 2).
8.2 Third-Party Links. The Site may link to third-party websites or services for convenience. We do not control and are not responsible for their content, practices or policies. Use at your own risk.
8.3 Acceptable Use. You must not misuse the Site, attempt unauthorised access, introduce malicious code, or use automated scraping/crawling except as permitted by law and our robots policies (if any). We may suspend or block access for suspected misuse.
8.4 Availability. We do not guarantee that the Site, or any content on it, will always be available or uninterrupted. We may suspend, withdraw or restrict the Site (or any part of it) without notice.
9. Changes to These Terms
We may update these Terms from time to time. The most recent version will be available on the Site and will apply from its stated “Last updated” date. Continued use of our Materials, services or the Site after changes constitutes acceptance of the updated Terms.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of the Bailiwick of Guernsey. The courts of Guernsey shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
